A court may find a contract to be unenforceable because of the contract’s subject matter, because one party took advantage of the other party in the agreement, or because there is a lack of sufficient proof of the agreement. There are eight specific criteria a court will use to determine whether or not a contract is unenforceable: lack of capacity, coercion, undue influence, misrepresentation and nondisclosure, unconscionability, and public policy, mistake, and impossibility.

The general rule is that when an individual or business accepts and signs a contract with another party, they are considered to be legally bound to that contract. Unless a contract contains a specific rescission clause that grants the right for a party to cancel the contract within a certain amount of time, a party cannot back out of a contract once they have agreed and signed it.
